Terms and Conditions SOMBROEK W.E.

1. General 1.1 These terms and conditions apply to all services and activities performed by SOMBROEK W.E., located at Rhijnvis Feithlaan 11, 1813 KR Alkmaar. 1.2 By using our services, you agree to these terms and conditions.


2. Services
2.1 SOMBROEK W.E. offers support in welding coordination, welding inspection and visual inspection, including obtaining and maintaining EN 1090 and 3834 certifications. 2.2 The specific details of the services are laid down in a separate agreement.


3. Quotes and Rates
3.1 All quotes from SOMBROEK W.E. are without obligation and valid for a period of 30 days. 3.2 The rates are exclusive of VAT, unless stated otherwise. 3.3 SOMBROEK W.E. reserves the right to change rates, whereby the customer will be informed in advance.


4. Payments
4.1 Invoices must be paid within 30 days of the invoice date. 4.2 In the event of late payment, the customer is in default without further notice and statutory interest is due. 4.3 All collection costs are for the account of the customer.


5. Obligations of the Customer
5.1 The customer must provide all information and cooperation necessary for the performance of the services. 5.2 The customer is responsible for the accuracy and completeness of the information provided.


6. Liability
6.1 SOMBROEK W.E. is only liable for direct damage resulting from intent or gross negligence. 6.2 SOMBROEK W.E. is not liable for indirect damage, including consequential damage, lost profit or business interruption. 6.3 The liability of SOMBROEK W.E. is in all cases limited to the amount charged for the service in question.


7. Force Majeure
7.1 SOMBROEK W.E. is not liable for damage as a result of force majeure, including, but not limited to, natural disasters, war, pandemics, strikes, and failures in communication connections. 7.2 In case of force majeure, SOMBROEK W.E. has the right to suspend or terminate the execution of the agreement without any obligation to pay compensation.


8. Confidentiality
8.1 Both parties are obliged to maintain confidentiality of all confidential information they have obtained in the context of the agreement. 8.2 Information is considered confidential if this has been communicated by the other party or if this arises from the nature of the information.


9. Applicable Law and Disputes
9.1 All legal relationships to which SOMBROEK W.E. is a party are exclusively governed by Dutch law. 9.2 Disputes will be submitted to the competent court in the district where SOMBROEK W.E. is located.

11. Changes to the Terms and Conditions
11.1 SOMBROEK W.E. reserves the right to change these terms and conditions. 11.2 Changes will take effect fourteen days after notification, unless stated otherwise.
